These terms apply to your use of Wholora, a Shopify app operated by XI NENG CHAN. By installing the app you agree to them and to the Shopify Partner Program terms that govern apps.

The service

Wholora provides credit limit enforcement at checkout for Shopify B2B company locations, receivables reporting, a wholesale application form, tools to approve buyers into Shopify B2B and optional email notifications. Features and limits, such as the number of company locations with a credit limit, depend on your plan. If you move to a plan with fewer credit-limit locations, the limits you set first stay active and the others are paused (kept but not checked at checkout) until a slot frees up or you upgrade. On plans without the receivables report, order balances are only kept for company locations with a credit limit.

Billing

Paid plans are billed by Shopify on your Shopify invoice in advance each billing cycle. Trials, upgrades, downgrades and cancellations are handled through Shopify. Fees are non-refundable except where required by law or Shopify policy.

Your responsibilities

  • You decide which buyers to approve, which prices and payment terms they get, and what credit you extend.
  • You are responsible for your own tax, invoicing and credit decisions and for complying with laws that apply to your business.
  • You must have a lawful basis to collect the information your form asks for and must show buyers your privacy policy.

No financial or tax advice

Credit limits are rules you configure; Wholora does not lend money, assess creditworthiness or collect debts. VAT validation results come from the EU VIES service and are provided for information only — they are not tax advice and do not guarantee the tax treatment of any transaction.

Availability

We aim for high availability but the service is provided “as is”. Credit limit checks run inside Shopify. By default they let checkout continue if a check cannot run; if you choose to block checkout instead (Credit limits → Checkout safety), checkout is blocked while the check cannot run. Orders created outside checkout, such as draft orders created in Shopify admin or orders created by other apps, are not checked.

Liability

To the extent permitted by law, our total liability for any claim relating to the app is limited to the fees you paid for the app in the three months before the claim. We are not liable for indirect or consequential losses, lost profits or lost revenue.

Changes and termination

We may update these terms and will post the new version here. You can stop using the app at any time by uninstalling it. These terms are governed by the laws of Illinois, USA.
